Job Responsibilities

 

This role of the Senior Legal Counsel will have a focus on general law and will suppport Idorsia Headquarter in drafting, reviewing and negotiating a wide variety of agreements integrally for the benefit of the company, taking into account financial and operational aspects and delivering high-quality legal advice in relation to: 

 

  • Agreements with contract manufacturing organizations (CMOs) and other contracts related to sourcing of services from third parties (e.g. warehousing, transportation, consulting, headhunting services); 
  • IT agreements (licensing, AI development agreements, SaaS, etc.);
  • Human resource matters (employment law advice, disputes, settlements and benefits);
  • Real Estate, incl. site management legal support;
  • Managing potential disputes relating to matters arising from assigned transactions;
  • Managing and developing standardized template documents and training materials;
  • Monitoring and tracking all relevant regulations worldwide;
  • Providing pragmatic and timely strategic legal support on diverse local and international legal, compliance, transactional and other issues;
  • Delivering trainings to the supported Business Departments (e.g. on basic principles of contract law, Idorsia policies and best practices).
     

In a second line, the job responsibilities entail support of various legal functions in the following fields (as needed):

 

  • Preclinical
  • Business Development
  • Clinical Development

 

Candidate’s Requirements

 

Education

 

  • Master of Law of a University in Switzerland or in another European country, with Swiss Bar Admission

 

Job experience

 

  • 8+ PQE years of working experience in general & contract law (i.e. manufacturing and supply agreements, indirect and direct procurement, wide variety of services agreements – headhunting, consulting services, warehousing and logistics) and general legal advice
  • Prior in-house experience strongly desired
  • Extensive experience in negotiating transactions and agreements globally
  • Preferable prior experience in the pharmaceutical industry or FMCG

 

Skills (functional/technical/soft)

 

  • Excellent knowledge of contract law required
  • Sound knowledge of Swiss legal framework while strong interest or broad understanding of other European jurisdictions and common law countries is a benefit
  • Knowledge of Swiss labour law
  • Knowledge of trial and procedural processes
  • Knowledge of licensing law and intellectual property desirable
  • Excellent negotiation and diplomacy skills as well as excellent oral and written communication skills, suitable for all levels of the organization
  • Sound general knowledge of commercial legal aspects and of laws and regulations governing biopharmaceutical companies
  • Willingness to work collaboratively by incorporating diverse perspectives and appropriately managing relationships
  • Resourceful, creative, enthusiastic, results-oriented and displaying intellectual curiosity
  • Team-player with ability to set priorities and manage a wide-ranging work under a time-pressure
  • Entrepreneurial, enjoys working in an international, fast-paced, fluid, small-company environment
  • Strong ability to determine the significance of legal issues in the context of business objectives and to conduct risks and benefits assessment pertaining to legal aspects in agreements
  • Proactive business-minded lawyer with strong ability and motivation to develop problem solving strategies and execute on them
  • Strong ability to act efficiently in different cultural environments
  • Fluent in English (obligatory) and in German (strongly desired)
  • Strong work ethics and values, accuracy and sense of responsibility and ability to work independently and responsively
  • Ability to be flexible and willingness to accept new responsibilities as needed
